1.1 The subject matter of these General Terms and Conditions (the "Agreement") is the provision of access to the cloud-based Sidus Autonomous AI Agent platform ("Sidus" or "Contract Software") for the duration of the contractual relationship. Sidus enables the autonomous execution of workflows, integration with plugins, skills, and MCP (Model Context Protocol) servers through artificial intelligence.
1.2 SidusLabs provides the (i) provision and operation of the cloud infrastructure required to run Sidus ("Hosting") and (ii) the computing power and system resources required for the execution of autonomous AI processes ("Data Center Resources").
1.3 Technical specifications, marketing materials, or presentations are not part of this Agreement unless expressly incorporated.
1.4 These terms apply exclusively. Terms and conditions of the Customer or third parties do not apply.
2.1 Sidus is provided in a development/beta phase. The Customer acknowledges that Sidus is not yet a market-ready product and may contain errors, incomplete functions, or experience temporary unavailability.
2.2 SidusLabs does not owe a specific scope of functions or availability. Features may be added, changed, replaced, or removed at SidusLabs' discretion.
3.1 Use of Sidus requires account registration. Registration constitutes an offer to conclude a contract. A contract is concluded when SidusLabs accepts the offer via email and/or grants access to the platform.
3.2 The Customer is obliged to provide complete and truthful information.
4.1 SidusLabs provides a server environment (instance) to run the Contract Software. The technical configuration is at SidusLabs' reasonable discretion.
4.2 Availability is targeted at 99.5% but is not guaranteed. Downtimes caused by third-party infrastructure, force majeure, or Customer misuse do not count toward downtime calculations.
4.3 SidusLabs is entitled to suspend access if necessary for security, integrity, or maintenance.
5.1 SidusLabs is the exclusive holder of all rights to the Contract Software.
5.2 The Customer is granted a non-exclusive, non-transferable right to use Sidus as intended during the term of the Agreement.
5.3 The Customer is prohibited from deciphering, decompiling, or reconstructing the source code of Sidus or its associated MCP plugins.

6.2 The Customer acknowledges that Sidus is an autonomous AI agent. Results and actions (e.g., file edits, communications) may be erroneous. The Customer must perform professional review of all agent outputs before use.
7.1 SidusLabs processes personal data as a processor (Art. 28 GDPR).
7.2 Training Policy: To maintain security and trust, we do not use your private content or inputs for permanent model training unless you have explicitly opted in.
8.1 Billing is based on quotas of "Processing Units" or "Agent Hours."
8.2 Payment is due in advance. If payment fails, SidusLabs may suspend service immediately.
8.3 Unused quotas expire at the end of the billing period; no refunds or compensation are provided for unused resources.
9.1 Consumers have a 14-day right of withdrawal.
9.2 If you request that services begin during the withdrawal period, you agree to pay for the proportion of services provided up to the time of your withdrawal request.
10.1 The Agreement renews automatically on a weekly or monthly basis as specified at checkout.
10.2 Either party may terminate the Agreement with the notice period specified in the registration.
10.3 Extraordinary termination for "good cause" (e.g., material breach, illegal use of the agent) is possible by either party without notice.
11.1 SidusLabs is not liable for indirect damages, lost profits, or data loss caused by autonomous agent actions. The Customer assumes all risks associated with the agent's execution of tasks.
